Terms of Service

1. Agreement to Terms
By accessing or using CleanForge ("the Service"), you agree to be bound by these Terms of Service. If you do not agree, you may not use the Service. These terms apply to all users, including hosts who manage cleaning operations and cleaners who receive job assignments through the platform.
2. Description of Service
CleanForge is a software platform that helps property hosts manage cleaning crews for short-term rental properties. Features include:
- Automated job scheduling via iCal calendar integration
- AI-assisted cleaner assignment and scheduling
- SMS-based cleaner communication via Twilio
- AI photo review of completed cleaning jobs
- Automated and manual cleaner payouts via Stripe Connect
- In-app notifications and job tracking
CleanForge acts as a platform only and is not a party to any employment, contractor, or service arrangement between hosts and cleaners.
3. Cleaner Classification — Independent Contractors
CleanForge is a software platform. CleanForge is not an employer, staffing agency, or labor marketplace. Cleaners who receive job assignments through the platform are independent contractors engaged directly by the host who added them — not employees, contractors, or workers of CleanForge.
As the host, you are solely responsible for:
- Classifying your cleaners correctly under the labor laws of your jurisdiction (e.g. URSSAF declarations in France, T4A/RL-1 slips in Canada, 1099-NEC filings in the United States)
- Withholding and remitting any required taxes, social contributions, or insurance premiums
- Verifying that each cleaner has the legal right to work in the relevant country
- Maintaining any liability, workers' compensation, or commercial insurance coverage that may be required
- Resolving disputes with cleaners regarding hours, scope, pay, or job quality directly with the cleaner
CleanForge does not set cleaner wages, control how work is performed, or supervise cleaners. The cleaner-page link and SMS workflows provided by the platform are communication tools only; they do not create an employment or agency relationship between CleanForge and any cleaner.
4. Accounts and Eligibility
You must be at least 18 years old to use CleanForge. Accounts are created through our authentication provider (Clerk). You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
You agree to provide accurate, current, and complete information during registration and to update such information as necessary to keep it accurate and complete. We reserve the right to suspend or terminate accounts that contain false or misleading information.
5. Subscription, Billing and Auto-Renewal
CleanForge is offered as a paid subscription. Plan pricing, included features, and per-plan limits are described on the /upgrade page. By starting a paid subscription, you agree to the following:
- Auto-renewal. Your subscription automatically renews at the end of each billing period (monthly or annual, as selected) at the then-current price for your plan, until you cancel.
- Cancellation. You may cancel at any time through the Stripe Customer Portal accessible from your Billing page. Cancellation takes effect at the end of your current billing period; you retain access until that date. We do not pro-rate refunds for the unused portion of a period.
- No general refunds. Charges are non-refundable except where required by applicable law. We do not refund partial months or unused service.
- EU/EEA right of withdrawal. If you are a consumer in the European Union or European Economic Area, you have a 14-day right of withdrawal under Directive 2011/83/EU. By starting your subscription immediately upon checkout, you expressly request that the Service begin before this 14-day period expires and acknowledge that you waive your right of withdrawal once the Service has been fully performed.
- Quebec consumers. Quebec consumers retain the rights granted under the Quebec Consumer Protection Act, including the right to cancel a remote contract within 7 days of receiving a copy. Contact us at billing@cleanforge.xyz to exercise this right.
- Price changes. We may change subscription pricing for future renewal periods. We will provide at least 30 days' notice via email before any price change takes effect, and you may cancel before the new price applies.
- Failed payments. If a renewal payment fails, we will retry per Stripe's standard dunning schedule. After repeated failures, your account may be downgraded to the free tier until payment is resolved.
6. Cleaner Payouts via Stripe Connect
CleanForge facilitates cleaner payments through Stripe Connect. By connecting a Stripe account, you agree to Stripe's Terms of Service. CleanForge does not store card numbers or bank account details — all payment information is handled directly by Stripe.
You are solely responsible for ensuring payouts are accurate, lawful, and compliant with applicable employment and contractor laws in your jurisdiction. CleanForge is not liable for disputes between hosts and cleaners regarding payment amounts or timing.
A single Stripe Connect account may be linked to multiple properties on your CleanForge account.
7. SMS Communications
CleanForge sends SMS messages to cleaners on your behalf using Twilio. By adding a cleaner's phone number to the platform, you represent that you have the cleaner's consent to receive automated SMS messages related to job assignments and updates.
Standard carrier message and data rates may apply to recipients. You are responsible for compliance with applicable telemarketing and messaging laws (including TCPA in the US and CASL in Canada) when using CleanForge's SMS features.
8. AI Features and Automated Decisions
CleanForge uses AI to assist with cleaner scheduling decisions and to analyze cleaning photos submitted by cleaners. AI outputs are automated suggestions and are not guaranteed to be accurate. You retain full control to override any AI recommendation or decision.
Photos submitted through the cleaner job portal may be processed by our AI vision system (powered by Anthropic's Claude) for quality assessment. By uploading photos, cleaners consent to this processing. Photos are stored in Supabase Storage and are accessible only to the associated host.
The AI photo review constitutes an automated decision under GDPR Article 22 because it can affect whether a cleaner receives an automatic payout. You and your cleaners have the right to a human review of any automated decision: hosts may manually override the AI verdict from the job detail page, and cleaners may request that their host re-review the photos. CleanForge does not use your data to train AI models.
9. iCal Calendar Integration
You may connect iCal calendar URLs (such as Airbnb or VRBO calendar feeds) to automate job creation. You are responsible for ensuring the calendar URLs you provide are accurate and that you have the right to use them. CleanForge is not responsible for missed jobs or scheduling errors caused by inaccurate, expired, or unavailable calendar feeds.
10. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any regulations
- Submit false or misleading information about cleaning jobs or cleaner performance
- Attempt to reverse engineer, scrape, or interfere with the platform
- Use the SMS features to send unsolicited or spam messages
- Share your account credentials with unauthorized parties
- Circumvent or attempt to bypass any security or authentication features
11. Data and Privacy
Your use of CleanForge is also governed by our Privacy Policy, which is incorporated into these Terms by reference. We store data in Supabase and apply row-level security to ensure your data is accessible only to you.
12. Intellectual Property and Copyright Takedown
All software, design, and content comprising CleanForge is owned by or licensed to us. You retain ownership of all data you submit to the platform (property information, job records, photos, etc.). You grant CleanForge a limited license to process and store that data solely for the purpose of providing the Service.
If you believe content uploaded to CleanForge infringes your copyright, send a written notice to legal@cleanforge.xyz containing: (1) identification of the copyrighted work, (2) the URL or location of the allegedly infringing material, (3) your contact information, (4) a statement that you have a good-faith belief that the use is not authorized, (5) a statement that the information is accurate and (under penalty of perjury) that you are authorized to act on behalf of the copyright owner, and (6) your physical or electronic signature. We will investigate and remove infringing content where appropriate. Repeat infringers may have their accounts terminated.
13. Service Availability
We aim to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, infrastructure outages, or circumstances outside our control. We are not liable for losses resulting from service interruptions.
14. Force Majeure
CleanForge is not liable for any failure or delay in performing its obligations under these Terms caused by events beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, government action, labor disputes, internet outages, power failures, third-party service interruptions (including Stripe, Twilio, Anthropic, Vercel, Supabase, Clerk, Resend, or Upstash), pandemic-related restrictions, or cyber-attacks. The duration of such delay shall extend the time for performance accordingly.
15. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be error-free or that any defects will be corrected.
16. Limitation of Liability
To the fullest extent permitted by law, CleanForge and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising from your use of or inability to use the Service — even if advised of the possibility of such damages.
Our total liability for any claim arising out of or relating to these Terms or the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.
17. Indemnification
You agree to indemnify, defend, and hold harmless CleanForge, its operators, employees, and affiliates from and against any and all claims, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to:
- Your use of the Service in violation of these Terms or applicable law
- Your relationship with cleaners, including any dispute, labor-law claim, social-contribution audit, payroll tax assessment, or employment-misclassification finding
- Property damage, theft, personal injury, or guest complaints relating to cleaning services performed at your properties
- Any iCal calendar feed, property information, photo, or message you submit or cause to be submitted through the Service
- Your violation of any third-party right, including intellectual property, privacy, or publicity rights
- Any fine, penalty, or regulatory action imposed on CleanForge as a result of your acts or omissions
CleanForge reserves the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, at your expense, in which case you agree to cooperate with our defense of such claim.
18. Termination
You may stop using the Service at any time. We reserve the right to suspend or terminate your account at our discretion, including for violations of these Terms. Upon termination, your access to the Service will cease. Data retention after termination is described in our Privacy Policy.
19. Changes to Terms
We may update these Terms from time to time. When we do, we will update the "Last updated" date at the top of this page. For material changes affecting your rights, we will notify you by email at least 30 days before the change takes effect. Continued use of the Service after changes constitutes acceptance of the updated Terms.
20. Governing Law and Dispute Resolution
These Terms are governed by the laws of the Province of Quebec, Canada, without regard to its conflict-of-laws provisions. The mandatory consumer-protection laws of your country of residence (including EU member-state consumer law and the Quebec Consumer Protection Act) continue to apply where they grant you greater protection than the law chosen here.
Disputes shall first be addressed in good faith through direct negotiation. If unresolved within 30 days, disputes shall be submitted to the exclusive jurisdiction of the competent courts of the district of Montreal, Quebec — except where consumer-protection law mandates a different forum (such as the courts of the EU consumer's domicile).
21. General Provisions
Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
Entire agreement. These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and CleanForge regarding the Service and supersede all prior agreements.
No waiver. Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of that right or provision.
Assignment. You may not assign or transfer your rights under these Terms without our prior written consent. We may assign these Terms freely, including in connection with a merger, acquisition, or sale of assets, with notice to you.
Survival. Sections relating to Cleaner Classification, Intellectual Property, Disclaimer of Warranties, Limitation of Liability, Indemnification, Governing Law, and these General Provisions survive termination of these Terms.
